1. What Kazna Is

Kazna ("we," "us," or "the platform") is an AI-powered financial operations platform for modern businesses. We connect to your existing financial tools — QuickBooks, Xero, bank accounts, payment processors, payroll platforms, and more — and use artificial intelligence to analyze your financial data, surface insights, detect anomalies, and execute actions on your behalf.

By creating an account or using Kazna, you agree to these Terms of Service. If you do not agree, do not use the platform.

2. Your Account

You are responsible for:

• Providing accurate information when creating your account.
• Keeping your login credentials secure. Do not share your password or API keys with unauthorized parties.
• All activity that occurs under your account, including actions taken by team members you invite.
• Ensuring you have the authority to connect third-party financial platforms and grant Kazna access to the associated data.

You must be at least 18 years old to use Kazna. By using the platform, you represent that you meet this requirement.

3. Acceptable Use

You agree not to:

• Use Kazna for any unlawful purpose or in violation of any applicable laws or regulations, including financial regulations.
• Attempt to bypass rate limits, usage quotas, or other technical restrictions.
• Abuse AI features by submitting harmful, misleading, or malicious prompts designed to manipulate outputs.
• Reverse-engineer, decompile, or attempt to extract the source code or underlying algorithms of the platform.
• Use automated scripts, bots, or scraping tools to access Kazna outside of our provided API.
• Interfere with or disrupt the platform, its servers, or networks connected to it.
• Share your account access with competitors or use the platform to build a competing product.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

4. Data Ownership

Your data is yours. You retain full ownership of all financial data you connect to or upload to Kazna, including transaction records, invoices, bank balances, payroll data, and any other information from your connected platforms.

By using Kazna, you grant us a limited, non-exclusive license to access, process, store, and analyze your data solely for the purpose of providing and improving the service. This license terminates when you delete your account.

We do not sell your data to third parties. We do not use your individual financial data for marketing purposes or share it with other customers. See our Privacy Policy for full details.

5. AI-Generated Content and Financial Disclaimer

Kazna uses artificial intelligence (powered by Anthropic's Claude) to generate financial insights, recommendations, anomaly alerts, and automated actions. You should understand:

• Outputs are analytical tools, not financial advice. AI-generated content is intended to assist your decision-making, not replace professional financial, tax, legal, or accounting advice. We do not guarantee the accuracy, completeness, or suitability of any AI output.
• Review before acting. You are responsible for reviewing AI-generated recommendations before executing them, especially for high-stakes actions like payment approvals, invoice collections, or budget changes.
• Not a licensed financial advisor. Kazna is not a registered investment advisor, CPA firm, or financial institution. Insights about cash flow, runway, burn rate, or profitability are analytical in nature and should not be relied upon as professional financial advice.
• Autonomous actions. If you enable autopilot or autonomous features, Kazna may take actions such as sending invoice reminders or flagging anomalies. You are responsible for configuring these features appropriately and monitoring their results.

6. Billing and Payments

Subscriptions

Kazna offers monthly subscription plans. When you subscribe, you authorize us to charge your payment method on a recurring basis. Your subscription renews automatically at the end of each billing period unless you cancel.

AI Usage Credits

Each plan includes a set amount of AI credits. If you exceed your included credits, additional usage is billed at the rate specified in your plan. We will notify you when you approach your credit limit.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you will continue to have access until then. We do not prorate mid-period cancellations.

Refunds

We generally do not offer refunds for subscription fees already charged. If you believe you were charged in error or have extenuating circumstances, contact us at hello@kazna.ai and we will review your case.

Price Changes

We may change our pricing with at least 30 days notice. Price changes apply to the next billing cycle after the notice period. If you do not agree with a price change, you may cancel before it takes effect.

7. Intellectual Property

The Kazna platform — including its design, code, AI models (as integrated), branding, documentation, and all related materials — is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-transferable right to use the platform for your internal business purposes.

You may not copy, modify, distribute, or create derivative works based on any part of the Kazna platform without our written permission.

8. Service Availability

We strive to keep Kazna available and reliable, but we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including third-party service outages from banking APIs, accounting platforms, etc.).

We are not liable for any losses resulting from service interruptions, data sync delays, or temporary unavailability of AI features.

9. Limitation of Liability

To the maximum extent permitted by law, Kazna and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the platform.

Our total liability for any claim arising from these terms or your use of Kazna shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

10. Disclaimer of Warranties

Kazna is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will meet your specific requirements, that AI outputs will be accurate or reliable, or that any errors will be corrected.

11. Termination

You may close your account at any time through your account settings or by contacting us.

We may suspend or terminate your account if you violate these terms, engage in fraudulent or harmful activity, or fail to pay applicable fees. In cases of serious violations, we may terminate immediately without prior notice.

Upon termination, your right to use Kazna ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

12. Indemnification

You agree to indemnify and hold harmless Kazna, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the platform, your violation of these terms, or your violation of any rights of a third party.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or through a notice on the platform at least 15 days before the changes take effect. Your continued use of Kazna after the effective date constitutes acceptance of the updated terms.

14. Governing Law and Disputes

These terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these terms or your use of Kazna shall be resolved through binding arbitration or in the courts located in Bangalore, India.

Before initiating formal proceedings, you agree to contact us at hello@kazna.ai and attempt to resolve the dispute informally for at least 30 days.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
